The agreement governing your use of our website and research services

These Terms of Service constitute a legally binding agreement between you and Computational Biomedical Systems. Please read these terms carefully before using our website or engaging our research services.

Article 1

Acceptance of Terms

By accessing or using this website, or the research and engineering services provided by Computational Biomedical Systems ("CBMS," "we," "us," or "our"), you agree to be bound by these Terms of Service.

If you are entering into this agreement on behalf of an organisation, you represent that you have the authority to bind such entity to these terms.

If you do not agree to these terms, you must not access or use our services.

Article 2

Who We Are

CBMS is an early-stage bioengineering research and venture laboratory. We design and develop proprietary biomedical devices, embedded hardware, and computational software.

We are not a medical device manufacturer, distributor, or service provider. We do not currently sell, install, maintain, or repair medical equipment, and we do not hold medical device certification or regulatory approval.

Work described on this site as research is exploratory and may never reach a commercial or clinical stage.

Article 3

Research Services

Research collaborations, engineering pilots, and development engagements are governed by individual agreements executed between CBMS and the collaborating party. Those agreements define scope, deliverables, milestones, intellectual property, and commercial terms.

Where an engagement agreement conflicts with these Terms of Service, the engagement agreement controls.

We may decline, suspend, or discontinue any engagement at our discretion, including where a research direction does not justify continued investment.

Article 4

No Warranty

RESEARCH AND DEVELOPMENT WORK IS PROVIDED AS IS. EXCEPT AS EXPRESSLY SET OUT IN A SIGNED ENGAGEMENT AGREEMENT, CBMS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Research prototypes are experimental. They are not validated for clinical use, are not suitable for diagnostic or treatment decisions, and must not be relied upon for any patient care purpose.

We do not warrant that any research result will be accurate, reproducible, commercially viable, or successfully translated into a regulated product.

Article 5

Limitation of Liability

To the maximum extent permitted by applicable law, CBMS's total liability for any claim arising from our services or this website shall not exceed the total fees paid by you in the 12-month period preceding the claim.

In no event shall CBMS be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, research, or business opportunities.

Nothing in these terms shall limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Article 6

Intellectual Property

All content on this website, including text, graphics, logos, images, and code, is the property of Computational Biomedical Systems and is protected by copyright and trademark laws.

We retain all rights in our pre-existing technology, methods, know-how, and any improvements developed independently of a specific engagement.

Intellectual property created jointly with a collaborator, and the licensing rights granted for it, are defined in the applicable engagement or collaboration agreement rather than on this site.

Article 7

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged in connection with a potential or active engagement, including unpublished research, technical specifications, and commercial terms.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority.

Where research data constitutes Protected Health Information, applicable data-use agreements govern its handling in addition to these terms.

Article 8

Indemnification

You agree to indemnify, defend, and hold harmless CBMS, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of this website or violation of these terms.

Any indemnification obligations between CBMS and a collaborating party are governed exclusively by the applicable engagement agreement.

Article 9

Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising from these terms shall first be submitted to good-faith mediation. If mediation fails within 60 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association.

Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.

Article 10

Modifications

CBMS reserves the right to modify these Terms of Service at any time. Material changes will be communicated via email to registered collaborators and posted on this website.

Continued use of this website following any modifications constitutes acceptance of the revised terms.
